A sole proprietorship is a business owned by a person without using an LLC or a corporation. The personal assets of sole proprietors are fully exposed to business liabilities. LLCs combine the liability protection of a corporation with a much more flexible format and reduced formalities required for annual maintenance. These types of entities were first used in Wyoming in the early 1990s and are now a common form of entity in every state. Limited liability companies (LLCs) are an excellent way for business owners and investors to protect their personal assets. Like a corporation, when properly formed and maintained, an LLC offers protection of the owners’ (known as “members”) personal assets from liabilities caused by the business. However, LLCs are generally easier to maintain than corporations. While starting a business or buying rental real estate is exciting, it is critically important to protect one’s personal assets from unnecessary exposure.
