Frequently Asked Questions

Most new business entities are formed using a limited liability company. LLCs combine the liability protection of a corporation with a much more flexible format and reduced formalities required for annual maintenance. These types of entities were first used in Wyoming in the early 1990s and are now a common form of entity in every state. LLCs are an excellent way for business owners to obtain legal protection for personal assets from business liabilities. In some cases, a corporation may be the best form of entity to use. Lucent Law helps clients in forming corporations as well. Feel free to use our Entity Selection tool here.

Limited liability companies (LLCs) are an excellent way for business owners and investors to protect their personal assets. Like a corporation, when properly formed and maintained, an LLC offers protection of the owners’ (known as “members”) personal assets from liabilities caused by the business. However, LLCs are generally easier to maintain than corporations. While starting a business or buying rental real estate is exciting, it is critically important to protect one’s personal assets from unnecessary exposure. There may also be tax benefits; consult your tax advisor to determine if these tax benefits are available to you.

Through its EssentialLaw platform, Lucent Law has made it very easy and fast to form a lawyer-prepared LLC. We form LLCs using the fastest methods possible, and we typically file the Certificate or Articles of Formation with the Secretary of State within one business day after we receive complete information from our clients. Before we file your new LLC or corporation, our lawyers review all of the information you submit.

Lucent Law has made it very affordable to file. Our pricing chart on this page shows the complete price, which is $699 for a single-owner LLC, including our EssentialAgent registered agent services for the first year (applicable filing fees charged by the Secretary of State are in addition to our filing fee).

Lucent Law has you covered here. Our LLC Formation packages include the important corporate documents you need to ensure that you are receiving maximum legal protection. Please see above for additional information about what we include with every package. Of course, Lucent Law is a full-service business law firm, and can provide you with additional legal services for your new business.

The vast majority of our business clients choose to form LLCs, which provide the same liability protection as a corporation, but with much more flexibility in terms of ownership structure and management and with lower annual maintenance requirements. However, there are certain circumstances in which a corporation is the appropriate entity type, and we offer corporation formation packages at the same affordable, fixed fees as our LLC formation packages.

The Lucent Law Difference

Like corporations, limited liability companies (LLCs) are a well-established business entity that business owners and investors use to protect their personal assets from business risks and liabilities. Lucent Law’s lawyers have formed hundreds of LLCs and have advised countless business owners and investors on the proper way to form, operate and maintain their LLCs in order to maximize legal protection.

While the laws in every state provide basic default provisions for the operation of LLCs, we don’t want our clients to have the default laws dictate how their LLCs are operated and governed. That’s why we include a customized operating agreement that is unique to each LLC plus other important documents (such as Organizational Meeting Minutes) with every LLC we form.

We also include our EssentialAgent registered agent service free for the first year and a secure client portal where our clients can easily access information about their LLC or corporation and any legal matters we work on for that LLC or corporation.

We Are Here For the Long Haul to Keep Your Business Running Smoothly
